Below you will find the abbreviated version of our general terms and conditions.<\/strong><\/p>\n\n\n\n

Please note: In the event of a dispute and\/or claim, only the (more extensive) General Terms and Conditions as filed with the Chamber of Commerce of the entity concerned apply, the Dutch version being leading.<\/strong><\/p>\n<\/div>\n\n\n\n

Article 1 – Definitions<\/div>\n\t\t\t\t\t\t\t\t
In these terms and conditions, the following definitions apply:

\r\n1.\tMADE BLUE<\/b>: Stichting Made Blue Foundation, Water Made Blue B.V., and Made Blue B.V., acting individually or jointly.
\r\n2.\tWederpartij<\/b>: any natural or legal person acting in the exercise of a profession or business who enters into an agreement with MADE BLUE.
\r\n3.\tOvereenkomst<\/b>: any written or electronic arrangement between MADE BLUE and the Counterparty regarding the supply of products and\/or services.
\r\n4.\tProducten<\/b> physical goods supplied by MADE BLUE, such as water coolers, installations, and related materials.
\r\n5.\tDiensten<\/b>: all work performed by MADE BLUE or by third parties engaged by it, including (but not limited to) installation, maintenance, service, and donation programs.
\r\n6.\tSchriftelijk<\/b>: communication by letter, email, or other digital means whereby the identity of the sender can be established.
\r\n7.\tDerden<\/b>: any party engaged by MADE BLUE for (part of) the execution of the Agreement.<\/div>\n\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t\t\t

Article 2 – Applicability<\/div>\n\t\t\t\t\t\t\t\t
1.\tThese terms and conditions apply to all offers, quotations, agreements, and deliveries of MADE BLUE, unless otherwise agreed in writing.
\r\n2.\tDeviations from these terms and conditions are only valid if agreed in writing.
\r\n3.\tThe applicability of the Counterparty\u2019s general terms and conditions is expressly excluded.

Article 3 \u2013 Formation of the Agreement<\/div>\n\t\t\t\t\t\t\t\t
1.\tAll offers from MADE BLUE are without obligation and valid for a maximum of three (3) months unless stated otherwise.
\r\n2.\tAn Agreement is concluded after written acceptance or confirmation by MADE BLUE.
\r\n3.\tMADE BLUE is entitled to engage third parties in the execution of the Agreement.
\r\n4.\tDelivery or execution periods are indicative and never considered fatal deadlines.

Article 4 \u2013 Obligations of the Counterparty<\/div>\n\t\t\t\t\t\t\t\t
1.\tThe Counterparty ensures timely and complete provision of all required data and facilities.
\r\n2.\tThe Counterparty is responsible for compliance with all placement and installation conditions as set out in the quotation or Agreement.
\r\n3.\tAdditional costs due to negligence or incomplete information from the Counterparty are at their expense.
<\/div>\n\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t\t\t
\n\t\t\t\t\t\t\t
\n\t\t\t\t\t\t\t\t
Article 5 \u2013 Outsourcing and Installation Work<\/div>\n\t\t\t\t\t\t\t\t
1.\tPlacement of hardware, such as water coolers, is always outsourced to third parties.
\r\n2.\tMADE BLUE is not liable for errors or shortcomings of third parties, unless there is intent or gross negligence on the part of MADE BLUE.
\r\n3.\tThe Counterparty indemnifies MADE BLUE against claims from third parties arising from or related to outsourced work.

\n\t\t\t\t\t\t\t\t
Article 6 \u2013 Price, Payment, and Indexation<\/div>\n\t\t\t\t\t\t\t\t
1.\tAll prices are exclusive of VAT and other government levies.
\r\n2.\tPayment must be made within fourteen (14) days of the invoice date, unless agreed otherwise in writing.
\r\n3.\tMADE BLUE may index prices annually based on inflation.
\r\n4.\tIn case of late payment, the Counterparty is in default without notice of default and owes statutory (commercial) interest.
\r\n5.\tExtrajudicial collection costs are calculated in accordance with the \u201cRapport Voorwerk II.\u201d
\r\n<\/div>\n\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t\t\t
\n\t\t\t\t\t\t\t
\n\t\t\t\t\t\t\t\t
Article 7 \u2013 Retention of Title<\/div>\n\t\t\t\t\t\t\t\t
1.\tDelivered Products remain the property of MADE BLUE until the Counterparty has fully met all payment obligations.
\r\n2.\tAs long as full payment has not been made, the Counterparty may not dispose of, pledge, or otherwise encumber the Products.
\r\n\r\n<\/div>\n\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t\t\t
\n\t\t\t\t\t\t\t
\n\t\t\t\t\t\t\t\t
Article 8 \u2013 Warranty and Complaints<\/div>\n\t\t\t\t\t\t\t\t
1.\tMADE BLUE guarantees the quality of delivered Products for a period of twelve (12) months, unless agreed otherwise in writing.
\r\n2.\tComplaints about visible defects must be reported in writing within seven (7) days after delivery.
\r\n3.\tComplaints about hidden defects must be reported in writing within fourteen (14) days after discovery.
\r\n4.\tWarranty expires in case of improper use, lack of maintenance, or modifications by third parties.
\r\n<\/div>\n\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t\t\t
\n\t\t\t\t\t\t\t

Article 9 \u2013 Liability<\/div>\n\t\t\t\t\t\t\t\t
1.\tMADE BLUE\u2019s liability is limited to direct damage up to a maximum equal to the invoice amount of the relevant delivery or the amount paid by the insurer.
\r\n2.\tMADE BLUE is not liable for indirect damage such as consequential loss, loss of profit, data loss, or business interruption.
\r\n3.\tThese limitations do not apply in cases of intent or gross negligence by MADE BLUE.
\r\n<\/div>\n\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t\t\t
\n\t\t\t\t\t\t\t
\n\t\t\t\t\t\t\t\t
Article 10 \u2013 Confidentiality<\/div>\n\t\t\t\t\t\t\t\t
1.\tParties shall keep all confidential information received from each other secret, except insofar as disclosure is legally required or necessary for the execution of the Agreement.
<\/div>\n\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t\t\t

Article 11 \u2013 Privacy and Personal Data<\/div>\n\t\t\t\t\t\t\t\t
1.\tMADE BLUE processes personal data in accordance with applicable privacy legislation (GDPR).
\r\n2.\tProcessing takes place as described in the privacy statement on MADE BLUE\u2019s website.
<\/div>\n\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t\t\t
\n\t\t\t\t\t\t\t
\n\t\t\t\t\t\t\t\t
Article 12 \u2013 Suspension and Termination<\/div>\n\t\t\t\t\t\t\t\t
1.\tMADE BLUE may suspend obligations or terminate the Agreement if the Counterparty fails to fulfill its obligations.
\r\n2.\tUpon termination, MADE BLUE is entitled to compensation for costs already incurred and damages suffered.
<\/div>\n\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t\t\t

\n\t\t\t\t\t\t\t\t
Article 13 \u2013 Force Majeure<\/div>\n\t\t\t\t\t\t\t\t
1.\tMADE BLUE is not obliged to fulfill the Agreement in case of force majeure, including but not limited to natural disasters, war, pandemics, strikes, supply issues, and other circumstances beyond its control.
\r\n2.\tIf the force majeure lasts longer than three (3) months, both parties may terminate the Agreement in writing.

Article 14 \u2013 Termination<\/div>\n\t\t\t\t\t\t\t\t
1.\tAgreements for an indefinite period may be terminated by either party in writing with a notice period of two (2) months.
\r\n2.\tIn case of premature termination by the Counterparty, amounts already invoiced remain payable.

Article 15 \u2013 Intellectual Property<\/div>\n\t\t\t\t\t\t\t\t
1.\tAll intellectual property rights remain vested with MADE BLUE.
\r\n2.\tMADE BLUE may freely use acquired knowledge, provided no confidential information is shared.
<\/div>\n\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t\t\t

Article 16 \u2013 Applicable Law and Jurisdiction<\/div>\n\t\t\t\t\t\t\t\t
1.\tAll legal relationships with MADE BLUE are governed exclusively by Dutch law.
\r\n2.\tDisputes are submitted to the competent court in Utrecht, unless mandatory law dictates otherwise.
\r\n<\/div>\n\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t\t\t

Article 17 \u2013 Final Provisions<\/div>\n\t\t\t\t\t\t\t\t
1.\tThe full terms and conditions are filed with the Chamber of Commerce in Utrecht.
\r\n2.\tMADE BLUE may amend these terms and conditions; the most current version is on the website.
\r\n3.\tIn case of conflict between language versions, the Dutch version prevails.
